2. Services Description

AI Automation Solutions

Inn8 Tec provides AI-powered automation solutions including database reactivation, Voice AI employees, speed-to-lead systems, and qualification and nurturing services tailored for small to medium-sized businesses.

Service Delivery

Services are delivered through various platforms including GoHighLevel, n8n workflows, ElevenLabs Voice AI, and custom integrations. Specific service details will be outlined in your service agreement.

No Guarantee of Results

While we strive to deliver high-quality services, we do not guarantee specific business outcomes, lead conversion rates, or revenue increases. Results may vary based on your industry, market conditions, and implementation.

3. User Responsibilities

Accurate Information

You agree to provide accurate, current, and complete information when using our services and to update such information as necessary.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use.

Prohibited Uses

You may not use our services for any illegal purposes, to transmit harmful code, to violate any laws or regulations, or to infringe upon the rights of others.

Data Compliance

You are responsible for ensuring that any data you provide to us or process through our services complies with applicable privacy laws and regulations, including the Australian Privacy Principles.

4. Payment Terms

Fees and Billing

Service fees are outlined in your service agreement. Payment is due according to the billing schedule specified in your agreement. All fees are in Australian Dollars (AUD) unless otherwise stated.

Setup Fees

Certain services may require a one-time setup fee as specified in your service agreement. Setup fees are non-refundable once work has commenced.

Recurring Charges

Recurring subscription fees will be charged automatically according to your billing cycle. You authorize us to charge your payment method on file.

Late Payments

Late payments may result in service suspension. We reserve the right to charge interest on overdue amounts at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

5. Service Level and Availability

Uptime Commitment

We strive to maintain high service availability but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance when possible.

Support Hours

Standard support is available Monday through Friday, 9am to 5pm AEST. Emergency support may be available for critical issues as outlined in your service agreement.

Third-Party Dependencies

Our services may rely on third-party platforms (GoHighLevel, ElevenLabs, etc.). We are not responsible for outages or issues caused by third-party service providers.

6. Intellectual Property

Our Property

All content, features, and functionality of our website and services, including but not limited to text, graphics, logos, software, and AI models, are owned by Inn8 Tec and protected by copyright, trademark, and other intellectual property laws.

License to Use

We grant you a limited, non-exclusive, non-transferable license to access and use our services for your internal business purposes according to these terms.

Your Content

You retain ownership of any data, content, or materials you provide to us. By using our services, you grant us a license to use, process, and store your content solely for the purpose of providing our services.

Restrictions

You may not copy, modify, distribute, sell, or lease any part of our services or included software, nor may you reverse engineer or attempt to extract the source code of our proprietary systems.

7. Confidentiality

Confidential Information

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship.

8. Termination

Termination by You

You may terminate your service agreement by providing 30 days' written notice. Termination does not relieve you of payment obligations for services already rendered.

Termination by Us

We reserve the right to suspend or terminate your access to our services for breach of these terms, non-payment, or any conduct we deem harmful to our business or other clients.

Effect of Termination

Upon termination, your right to use our services will immediately cease. We will provide you with your data in a standard format within 30 days of termination, subject to payment of all outstanding fees.

9. Limitation of Liability

No Consequential Damages

To the maximum extent permitted by law, Inn8 Tec shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

Liability Cap

Our total liability for any claims arising out of or related to our services shall not exceed the amount you paid to us in the 12 months preceding the claim.

Australian Consumer Law

Nothing in these terms excludes, restricts, or modifies any guarantee, warranty, term, condition, or right that cannot be excluded under the Australian Consumer Law or other applicable law.

10. Indemnification

Your Indemnity

You agree to indemnify and hold Inn8 Tec harmless from any claims, damages, or expenses arising from your use of our services, your violation of these terms, or your infringement of any third-party rights.

11. Governing Law

Jurisdiction

These terms are governed by the laws of Queensland, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Queensland.

Dispute Resolution

In the event of a dispute, both parties agree to first attempt to resolve the matter through good faith negotiations before pursuing legal action.

12. General Provisions

Entire Agreement

These terms, together with your service agreement and our Privacy Policy, constitute the entire agreement between you and Inn8 Tec regarding the use of our services.

Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

No Waiver

Our failure to enforce any right or provision of these terms will not be considered a waiver of those rights.

Assignment

You may not assign or transfer these terms without our prior written consent. We may assign these terms without restriction.
